This End User License Agreement (EULA) is a contract between you and DZ Audio S.R.L.S., Via alle Fabbriche 183, 10072 Caselle Torinese (TO), Italy — VAT / tax code 13486850012 (“Comet Sound”, “we”). It governs the installation and use of Comet Sound software, including audio plugins, bundles and Comet Sound AI (the “Software”). By installing or using the Software you accept this EULA.

1. License grant

Subject to payment and to this EULA, we grant you a personal, non-exclusive, non-transferable license to install and use the Software for any lawful purpose, including commercial music production.

You may install and activate the Software on up to 3 devices that you own or control, provided the Software is used by a single person. A license is personal: it may not be shared between multiple users, whether simultaneously or alternately.

2. Perpetual licenses and subscriptions

  • Perpetual license (single plugin or bundle purchase): the right to use the Software version you bought does not expire.
  • Subscription plans (Base and Pro): the right to use the plugins included in your plan lasts as long as the subscription is active. When the subscription ends, the license to use those plugins ends with it and the Software may stop working.

3. License keys and activation

The Software may require a license key or account activation. You must keep your license keys confidential: sharing, publishing or reselling keys is a breach of this EULA and leads to termination of the license.

4. Free trial

Subscription plans include a free 7-day trial, activated from the website with a valid payment method: you pay nothing during the trial and can cancel at any time before it ends, as described in the Terms & Conditions. When the trial ends without cancellation, the subscription starts and you receive your license key. Permanent licenses are delivered immediately upon purchase, with no trial period. Without a valid license or an active trial, the Software runs for at most 7 days from its first use on a device and then stops working. Circumventing the trial mechanism, for example by resetting or extending the trial period, is a breach of this EULA.

5. Updates and support

Perpetual licenses include the updates and bug fixes we release for the purchased major version of the Software. Major new versions may be offered as separate purchases or upgrades. Active subscriptions include all updates of the plugins in the plan while the subscription lasts.

Support is provided by email and through the Support page. We do our best to help promptly, but specific response times are not guaranteed.

6. Comet Sound AI and your audio

Comet Sound AI and the AI-assisted features of our plugins process audio locally on your device. Your audio is never uploaded to our servers, analysed remotely or used to train models. Network access, when present, is used only for license verification and updates.

7. Restrictions

Except to the extent expressly permitted by mandatory law, you may not:

  • copy, redistribute, sell, rent, sublicense or make the Software available to third parties;
  • reverse engineer, decompile, disassemble or attempt to extract the source code, models or algorithms of the Software;
  • modify the Software, remove its license protections or circumvent activation;
  • use the Software to build a competing product or dataset.

8. Transfer

Licenses may be transferred to another person only with our prior written consent: contact us at info@cometsound.com and we will guide you through the transfer. Subscriptions are not transferable.

9. Ownership

The Software is licensed, not sold. DZ Audio S.R.L.S. and its licensors retain all rights, title and interest in the Software, including all intellectual property rights. Audio you create with the Software is entirely yours: we claim no rights over your music.

10. Termination

This license ends automatically if you materially breach this EULA, including key sharing and redistribution. Upon termination you must uninstall the Software and destroy all copies. Sections on ownership, warranty and liability survive termination.

11. Warranty and liability

Where you buy as a consumer, you benefit from the legal guarantee of conformity provided by EU and Italian law, and nothing in this EULA limits those mandatory rights. Beyond them, the Software is provided “as is”, without any warranty that it will be uninterrupted, error-free or fit for a particular purpose, and our total liability under this EULA is limited to the amount you paid for the Software concerned, except in cases of intent or gross negligence.

12. Governing law

This EULA is governed by Italian law. If you are a consumer residing in the European Union, you keep the protection of the mandatory provisions of the law of your country of residence, and the competent courts are those of your place of residence or domicile. In all other cases, the competent court is the Court of Turin, Italy.
